Katie Liu is a Securities Law Clerk in the Capital Markets Group at Goodmans.
Katie provides support to clients across a wide range of securities law matters, including drafting various documents required for securities offerings, exempt market offerings, and continuous disclosure. Katie also handles third-party filings, insider reporting, and applications with securities commissions.
Katie is proficient in filing documents through SEDAR, SEDI, NRD, and TMX Linx. During securities closings, Katie often manages tasks such as CUSIP/ISIN applications, drafting closing documents, preparing exempt distribution reports, coordinating with securities regulator/exchange, and completing necessary filings.
Katie excels in corporate maintenance and transactional work. She has substantial experience in the incorporation and organization of CBCA and OBCA companies. Katie conducts due diligence searches, minute book reviews, and manages corporate filings including initial returns, notices of change, and annual returns. Additionally, Katie prepares draft documents and attends to corporate filings relating to amalgamations, amendments, continuances, arrangements, extra-provincial registrations, and dissolutions.
Katie received her Law Clerk Certificate from the Institute of Law Clerks of Ontario (ILCO) in 2017 and she was granted multiple awards by ILCO in 2017 including David Boakes Award in Estates, Balfour Award in Real Estate, Victor Award in Corporate Law, and ILCO All Honours Certificate. Katie also completed her Securities Law Fellowship Certification at ILCO with honours in 2017.
