Intrawest Resorts Holdings Acquired by Affiliates of Aspen Skiing Company and KSL Capital Partners for US$1.5 Billion
Goodmans LLP acted as Canadian counsel to the newly-formed entity controlled by affiliates of KSL Capital Partners, LLC (“KSL”) and Henry Crown and Company (“HCC”), the owner of Aspen Skiing Co LLC, in its acquisition of Intrawest Resorts Holdings, Inc. (Intrawest) (NYSE: SNOW), a leading North American mountain resort and adventure company.
Under the terms of the merger agreement, Intrawest stockholders received US$23.75 in cash for each share of Intrawest common stock, representing a total valuation of approximately US$1.5 billion. Concurrently, the KSL/HCC joint venture also purchased Mammoth Resorts.
