SPACS
As publicly traded companies, the success of Special Purpose Acquisition Companies (SPACs), largely depend on their initial structuring and precise deal execution. Goodmans market leading experience allows us to creatively structure SPACs in anticipation of the issues that will be faced during a qualifying acquisition ("QA"), and execute qualifying acquisitions quickly and efficiently.
We have acted on a majority of Canadian SPAC transactions, and played a leading role in shaping Canada’s SPAC sector since its inception. We authored the Toronto Stock Exchange’s initial Guide to Special Purpose Acquisition Corporations when SPACs were first introduced to Canada.
Our SPAC firsts include:
- first SPAC to list in both Canada and the US
- first industry-focused SPAC
- first SPAC to acquire multiple businesses concurrently
- first SPAC sponsored by an investment bank
- first cross-border SPAC QA
- first REIT SPAC
- first SPAC pre-structured multi-voting share structure
Among the novel structures we helped to pioneer, are the first SPAC to staple its warrants to its common shares to reduce redemption risk, the first SPAC structure as a non-corporate entity, and the first SPAC QA involving a public company target and four stock exchanges in three countries.
A key success factor for a SPAC is minimizing the time from QA announcement to regulatory clearance. Clients choose Goodmans because our extensive experience with SPACs allows us to facilitate quick and efficient IPOs and QAs that get our clients to market on their timeline and minimizing execution risk.
