Senior Securities Law Clerk

We are currently seeking a Senior Securities Law Clerk to join our team. The successful applicant will act as a key resource to lawyers and clients  on the handling of legal and administrative matters related to securities regulatory filings and approvals, and will liaise with securities regulatory authorities as needed.    

Required Qualifications/Skills/Experience:
  • Graduate of a college law clerk diploma program (or completion of the Institute of Law Clerks of Ontario Associate Level courses) with a minimum 7 to 10 years’ experience as a Securities Law Clerk;  
  • Excellent knowledge of Canadian securities laws, instruments, rules, forms, policies and processes;
  • Proficiency in MS Office applications including Word, Excel and Outlook;
  • Excellent verbal and written communication and organizational skills;  
  • A results-oriented team player with a strong sense of initiative;
  • Ability to handle multiple tasks and prioritize appropriately; and
  • A willingness to respond to urgent client requests outside of regular business hours, as needed.
Primary Responsibilities:
  • Co-ordinating and preparing documents required for prospectus and continuous disclosure filings, insider, early warning and exempt trade reports on SEDI and SEDAR; 
  • Assisting clients with preparation of applicable regulatory filings including annual filings and securities registration exemptions (i.e., international adviser exemption, international dealer exemption, international investment fund manager permitted client exemption); 
  • To a more limited extent, assisting clients with various aspects of dealer, adviser and investment fund manager registration processes; 
  • Liaising with practice group members and clients regarding new and proposed changes to securities legislation;
  • Educating and training identified firm members about securities filings and related matters.
